Jonify Terms of Use and Service

A. Introduction
These Terms of Use and Terms of Service (“Terms”) govern your access to and use of the Jonify platform, including the mobile applications, web dashboards, backend systems, messaging systems, notifications, and related services (collectively, the “Platform”), operated by Jonify Technology Limited (“Jonify”, “Company”, “we”, “us”, or “our”).
B. Consent
By accessing, registering for, or using the Platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms, our Privacy Policy, Cookie Policy, and any additional policies referenced herein.
If you do not agree with these Terms, you must immediately discontinue use of the Platform.
C. Anti-Agency & Relationship clause
Nothing in these Terms creates a partnership, joint venture, or employer-employee relationship. Jonify acts solely as an independent facilitator. We do not manufacture, store or inspect goods unless explicitly stated in a separate Logistics Agreement.
D. Terms and Conditions
1. Definitions
For the purpose of these Terms:
- “Platform” means the Jonify mobile application, web dashboards, APIs, communication systems, and all associated services.
- “User” means any individual or entity accessing or using the Platform.
- “Customer” means a User who submits sourcing requests or places orders through the Platform
- “Order” means a sourcing request, procurement request, logistics instruction or related transaction initiated through the Platform.
- “Customer Order” means a sourcing request submitted without a direct product link.
- “Content” means any text, image, data, message, document, file, product link, or material uploaded or transmitted through the Platform.
- “Third-Party Services” means external service integrated into the Platform including payment gateways, cloud infrastructure providers, logistics providers, push notification systems, and external marketplaces.
2. Eligibility
You may only use the platform if:
- You are at least eighteen (18) year old;
- You possess legal capacity to enter binding agreements;
- You are not prohibited under applicable law form using the Platform;
- All registration information provided by you is accurate, complete, and current.
Where you use the Platform on behalf of a company, organization, or third party, you represent and warrant that you possess authority to bind such entity to these Terms.
Jonify reserves the right to request a valid government-issued ID at any time to verify your age and identity. Failure to provide such documentation may result in immediate account suspension.
3. Nature of the Platform
Jonify operates as a technology-enabled sourcing and order coordination platform that enables Users to:
- Submit product sourcing requests;
- Submit product links from supported marketplaces;
- Create custom sourcing requests;
- Track order progress;
- Communicate with platform administrators;
- Receive quotations;
- Make payments;
- Receive notifications relating to orders and transactions.
Jonify reserves the right to modify, suspend, discontinue, or update any feature of the Platform at any time.
4. Account Registration
4.1. Account Creation
To access certain features of the Platform, Users may be required to create an account. You agree to:
- Provide accurate and complete information;
- Keep login credentials confidential;
- Maintain updated account information;
- Accept responsibility for all activities occurring under your account.
4.2. Account Security
You are solely responsible for safeguarding your login credentials.
You must immediately notify Jonify of:
- Unauthorized access to your account;
- Suspected security breaches;
- Unauthorized transactions or communications.
Jonify shall not be liable for loses arising from your failure to secure your account credentials.
4.3. Suspension of Accounts
Jonify reserves the right to suspend, restrict, or terminate accounts where:
- False information is provided;
- Fraudulent activity is suspected;
- The Platform is used unlawfully;
- These Terms are violated;
- Activities pose security or operational risks.
5. Platform Services
5.1. Link-Based Product Requests
Users may submit product URLs from supported marketplaces including Alibaba and 1688. The Platform may:
- Validate submitted links;
- Fetch available product information;
- Display product previews;
- Enable direct order creation.
Jonify does not guarantee:
- Accuracy of third-party marketplace data;
- Product availability;
- Third-party seller reliability;
- Accuracy of pricing, specifications, or shipping details.
5.2. Custom Sourcing Requests
User may submit custom sourcing requests without providing a marketplace link.
Custom order request may include:
- Product descriptions;
- Quantities;
- Budget estimates;
- Reference images;
- Additional specifications.
User are solely responsible for ensuring that legality, accuracy, and appropriateness of all submitted information.
5.3. Communication and Chat Features
The Platform includes messaging and communication tools for order clarification and transaction coordination.
User agree not to use chat systems to:
- Harass or threaten others;
- Transmit unlawful content;
- Send spam or malicious files;
- Conduct fraudulent activities;
- Share prohibited materials.
Jonify reserves the right to monitor, review, retain, or disclose communications where required for:
- Security purposes;
- Legal compliance;
- Fraud prevention;
- Dispute resolution;
- Enforcement of these Terms.
6. Prohibited Goods & Customs
Users are solely responsible for ensuring that sourced items are legal for import into Nigeria or the destination country. Jonify is not responsible for items seized by Customs due to lack of permits, trademark infringement (counterfeits), or prohibited status.
7. Order Management and Processing
7.1. Orders submitted through the Platform may move through the following statuses:
- Pending
- Processing
- Quoted
- Awaiting User Action
- Confirmed
- Paid
- Shipping
- Delivered
- Cancelled
- Quote Expired
- Abandoned
7.2. Quotation and Expiry
Where a quotation is issued:
- The quotation may remain valid for forty-eight (48) hours;
- Failure to respond within the validity period may result in automatic expiration;
- Jonify reserves the right to revise quotations after expiration.
7.3. Abandoned Orders
Orders may be marked as abandoned where Users fail to respond or engage within the specified inactivity period.
Jonify reserves the right to:
- Suspend abandoned orders;
- Archive inactive transactions;
- Require re-submission of expired requests.
8. Payments
8.1. Payment Processing
Payments made through the Platform may be processed through third-party payment gateways. By making payment through the Platform, you authorize Jonify and its payment processors to:
- Process transactions;
- Verify payment details;
- Conduct fraud screening;
- Perform transaction verification.
8.2. User Responsibility
User are responsible for:
- Ensuring sufficient funds;
- Verifying payment information;
- Reviewing quotations prior to payment.
8.3. Pricing and Currency
Prices displayed on the Platform may:
- Change without notice;
- Be affected by exchange rate fluctuations;
- Include or exclude applicable duties, taxes, shipping fees, or logistics costs.
8.4. Refunds
Refunds, where applicable, shall be governed by Jonify’s Refund and Cancellation Policy.
Jonify reserves the right to reject refund requests involving:
- User negligence;
- Incorrect information supplied by Users;
- Fraudulent activity;
- Violations of these Terms.
Shipping fees and duties are generally non-refundable once the service is rendered, even if the product itself is returned.
8.5. Currency Fluctuations
Due to the volatility of foreign exchange markets (particularly CNY/NGN and USD/NGN), Jonify reserves the right to re-quote any order if the exchange rate fluctuates by more than 5% between the issuance of a quotation and the receipt of cleared funds.
9. Acceptable Use, Platform Integrity, and User Content
9.1. Compliance with Laws
As a condition of access to and use of the Platform, Users agree to comply with all applicable laws, regulations, regulatory directives, customs regulations, import/export restrictions, data protection laws (including the NDPA 2023), and electronic commerce laws in connection with their use of the Platform.
9.2. Restricted Activities
Users shall not:
- copy, scrape, extract, reproduce, or commercially exploit any content, data, or materials on the Platform without prior written consent;
- use bots, crawlers, automated tools, or similar technologies to access or collect data from the Platform;
- reverse engineer, interfere with, or compromise the security or operation of the Platform;
- upload malicious code, harmful software, or unlawful content;
- gain unauthorized access to any account, system, or infrastructure connected to the Platform;
- use the Platform for fraudulent, unlawful, deceptive, or harmful activities;
- impersonate another person or misrepresent identity or affiliation;
- use the Platform to build or support a competing service or platform;
- Train third-party artificial intelligence or machine learning systems using Jonify’s data without explicit written consent;
- Use information obtained through the Platform to bypass Jonify’s transaction systems or engage in "off-platform" transactions with suppliers sourced through Jonify for the purpose of avoiding service fees.
Users found attempting to bypass Jonify system to transact with suppliers introduced by the Platform may be subject to a permanent ban and a fee equivalent to the lost service revenue.
9.3. User Content
Users may upload product descriptions, images, messages, documents, and other materials (“User Content”) through the Platform.
Users warrant that they own or have the necessary rights to upload such User Content and that such content does not violate any law or third-party rights.
By uploading User Content, Users grant the Company a non-exclusive, worldwide, royalty-free licence to use, store, process, display, reproduce, and transmit such User Content solely for purposes connected with:
- operation of the Platform;
- order processing;
- customer support;
- security and fraud prevention;
- analytics and service improvement;
- dispute resolution;
- legal and regulatory compliance.
This licence shall survive account suspension, deletion, or termination to the extent reasonably necessary for compliance, security, dispute resolution, record retention, or enforcement purposes.
Jonify reserves the right to remove Content that:
- Violates these Terms;
- Is unlawful or offensive;
- Creates operational or legal risk.
9.4. Third-Party Services
The Platform may integrate with third-party services, marketplaces, payment providers, logistics providers, and external websites including Alibaba and 1688.
The Company does not control or guarantee the availability, accuracy, pricing, quality, or reliability of such third-party services and shall not be liable for losses or delays arising from them.
9.5. Enforcement Rights
The Company reserves the right to investigate suspected violations of these Terms and may suspend, restrict, or terminate access to the Platform where necessary to protect the Platform, its Users, or its legal rights.
10. Intellectual Property Rights
All intellectual property rights relating to the Platform, including:
- software;
- source code;
- trademarks;
- trade names;
- logos;
- graphics;
- designs;
- databases;
- interfaces;
- proprietary workflows;
- content;
- documentation;
- business systems;
are owned by or licensed to Jonify and protected under applicable intellectual property laws.
User shall not:
- Copy;
- Modify;
- Reproduce;
- Distribute;
- Commercialize;
- Reverse engineer;
- Create derivative works from;
any portion of the Platform without prior written consent.
Jonify does not knowingly facilitate the purchase or transport of counterfeit or infringing goods. If we suspect an order involves trademark infringement, we reserve the right to cancel the order without liability. User agrees to indemnify Jonify for any legal costs arising from the sourcing of infringing products.
11. Intellectual Property Infringement & Takedown Policy
11.1. Respect for Rights
Jonify respects the intellectual property rights of others and expects its Users to do the same. We do not knowingly facilitate the sourcing or transport of counterfeit, pirated, or infringing goods.
11.2. Reporting Infringement
if you are a rights holder or an authorized agent and believe that any content on the Platform (such as product listings, images, or descriptions) or any product being sourced through the Platform infringes upon your intellectual property rights, you may submit a formal Infringement Notice to privacy@jonifyapp.com.
11.3. Notice Requirement
To be valid, your notice must include:
- A physical or electronic signature of the rights holder or authorized agent;
- Identification of the IP right claimed to have been infringed;
- Identification of the specific material/order/link on the Jonify Platform that is the subject of the claim;
- Contact information (Address, telephone number, and email);
- A statement that you have a good-faith belief that the use of the material is not authorized by the rights owner;
- A statement that the information in the notice is accurate, under penalty of perjury.
11.4. Jonify’s Action
Upon receipt of a valid notice, Jonify reserves the right to:
- Remove or disable access to the infringing material;
- Cancel any pending orders associated with the infringing goods;
- Suspend or terminate the accounts of repeat infringers.
11.5. No Liability for Removal
Jonify shall not be liable to any User for the removal of content or the cancellation of orders in good-faith response to an infringement notice.
12. Third-Party Services and Links
The Platform may integrate or interact with third-party services including:
- Alibaba;
- 1688;
- payment processors;
- cloud storage providers;
- logistics providers;
- notification services.
Jonify does not control or assume responsibility for third-party services. Your use of third-party services may be subject to separate terms and policies.
Jonify shall not be liable for:
- third-party outages;
- data inaccuracies;
- service interruptions;
- delays;
- losses caused by third-party providers.
13. Data Protection and Privacy
Jonify process personal data in accordance with:
- The Nigeria Data Protection Act 2023 (NDPA);
- Applicable international data protection standards;
- Jonify’s Privacy Policy.
By using the Platform, you consent to the collection, use, storage, and processing of personal data as described in the Privacy Policy.
User acknowledge that:
- Internet transmissions are not completely secure;
- No system can guarantee absolute security;
- Jonify implements reasonable technical and organizational safeguards.
14. Security and Platform Availability
Jonify uses commercially reasonable safeguards to protect the Platform.
However, Jonify does not guarantee:
- uninterrupted access;
- error-free operation;
- complete security;
- freedom from malware or cyberattacks.
Jonify reserves the right to:
- suspend services for maintenance;
- implement security updates;
- restrict access during incidents;
- modify infrastructure or system architecture.
Jonify does not perform quality control (QC) by default. We do not warrant that the physical product will match the digital preview in texture, exact color shade, or material quality. All ‘Link-Based orders are placed at the User’s risk regarding seller integrity.
Jonify is not an inspection agency. Users are encouraging to request third-party inspection services at their own cost if they require physical verification of goods prior to shipment
15. Disclaimers
The Platform is provided on an “AS IS” and “AS AVAILABLE” basis.
To the fullest extent permitted by law, Jonify disclaims all warranties, whether express, implied, statutory, or otherwise, including:
- merchantability;
- fitness for a particular purpose;
- uninterrupted operation;
- accuracy of third-party information;
- compatibility;
- non-infringement.
Jonify does not guarantee:
- successful sourcing outcomes;
- supplier reliability;
- product quality;
- delivery timelines;
- uninterrupted communications.
16. Limitation of Liability
To the maximum extent permitted by law, Jonify and its directors, officers, employees, affiliates, contractors and partners shall not be liable for:
- indirect damages;
- consequential losses;
- loss of profits;
- business interruption;
- loss of data;
- reputational harm;
- delays;
- third-party actions;
- unauthorized access;
- cyber incidents.
Where liability cannot lawfully be excluded, Jonify’s aggregate liability shall not exceed the amount of the Service Fee paid by the User to Jonify for the specific transaction, excluding the cost of the goods, shipping, and duties paid to third parties. (i.e., Jonify’s total liability shall not exceed the Service Fee paid for the specific transaction. Jonify shall not be liable for the cost of the goods themselves or any third-party shipping fees.)
17. Indemnity
You agree to indemnify, defend, and hold harmless Jonify and its affiliates from and against all claims, losses, liabilities, damages, costs, and expenses arising from:
- your use of the Platform;
- violation of these Terms;
- breach of applicable law;
- infringement of third-party rights;
- fraudulent activities;
- misuse of the Platform.
18. Suspension and Termination
Jonify reserves the right to suspend or terminate access to the Platform where:
- Users violate these Terms;
- fraudulent activity is suspected;
- security risks arise;
- required by law or regulatory authorities.
Termination shall not affect:
- accrued rights;
- outstanding obligations;
- provisions intended to survive termination.
19. Confidentiality
Users shall not disclose confidential information obtained through the Platform without authorization.
Confidential information includes:
- pricing structures;
- business processes;
- operational systems;
- trade secrets;
- internal communications.
20. Force Majeure
Jonify shall not be liable for delays or failures caused by events beyond reasonable control including:
- cyberattacks;
- telecommunications failures;
- internet outages;
- governmental restrictions;
- civil unrest;
- natural disasters;
- acts of God;
- third-party infrastructure failures;
- Upstream Provider Failure;
- Failures in APIs of Alibaba, 1688, or Paystack.
21. Governing Law and Dispute Resolution
Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
Amicable Settlement: Any dispute, claim, or controversy arising out of or relating to these Terms, including its existence, validity, or termination, shall first be resolved through good-faith amicable consultations between the parties.
Binding Arbitration: Where such amicable resolution fails within thirty (30) days of a written request for consultations, the dispute shall be referred to and finally resolved by binding arbitration in Lagos, Nigeria. The arbitration shall be conducted in accordance with the Arbitration and Mediation Act 2023: The number of arbitrators shall be one (1), and the proceedings may be conducted virtually where appropriate.
Class Action Waiver: TO THE EXTENT PERMITTED BY APPLICABLE LAW, THE PARTIES AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The parties expressly waive their right to file or participate in any class action or to seek relief on a class-wide basis in any forum. Unless both parties agree otherwise in writing, the arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of a representative or class proceeding.
22. Changes to these Terms
Jonify reserves the right to amend, update, or replace these Terms at any time. While Jonify may notify Users of material changes via in-app notices, email, website banners, or updated publications on the Platform, it is the User's responsibility to review these Terms periodically. Your continued access to or use of the Platform following the posting of any changes constitutes your immediate and deemed acceptance of the revised Terms. If you do not agree to the updated Terms, you must cease all use of the Platform immediately.
Note: Users can manage their communication preferences as contained in the Privacy Policy
23. Severability
If any provision of these Terms is found unenforceable or invalid, the remaining provisions shall remain valid and enforceable.
24. Entire Agreement
These Terms, together with the Privacy Policy, Cookie Policy, and related policies, constitute the entire agreement between Jonify and Users relating to the use of the Platform.
25. Survival
Notwithstanding the deletion, suspension, or termination of a User’s account or access to the Platform, the following provisions shall survive and continue in full force and effect:
- Intellectual Property Rights;
- Confidentiality obligations;
- Data protection and lawful retention obligations;
- Payment obligations and outstanding liabilities;
- Indemnities;
- Limitation of liability provisions;
- Dispute resolution provisions;
- Governing law provisions;
- Any rights or obligations which by their nature are intended to survive termination.
The Company may retain certain records, transaction data, communications, and information after account deletion where required for:
- legal compliance;
- regulatory obligations;
- fraud prevention;
- dispute resolution;
- enforcement of contractual rights;
- security and audit purposes.
Deletion of an account shall not extinguish any accrued rights, liabilities, claims, or obligations arising prior to such deletion.
